[GOVERNING-LAW STATE], [BUSINESS ADDRESS]) must be finalized, and the whole document should be reviewed by counsel before launch.These Terms & Conditions (“Terms”) govern your access to and use of the cardedge mobile application, the getcardedge.com website, vendor shop pages, and related services (together, the “Service”), operated by CARDEDGE LLC (“cardedge,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use the Service
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” includes that business.
2. Accounts and team members
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- A shop owner may invite team members and assign roles. The owner is responsible for their team members' use of the Service and for managing their access.
- You are responsible for all activity that occurs under your account and your team's accounts.
3. What the Service does
cardedge provides inventory management, market-price information, label generation, buying and trading workflows, customer-facing shop pages, and an optional two-way integration with Shopify. Market prices and suggestions are provided for convenience and may be delayed, estimated, or inaccurate; you are solely responsible for the prices you set and the deals you make.
4. Your content and inventory
You retain ownership of the data you put into the Service (inventory, photos, pricing, customer and sales records). You grant us a license to host, process, and display that data as needed to operate the Service — including rendering your public shop pages and syncing with services you connect, such as Shopify. You represent that you have the rights to any content you upload and that it does not infringe others' rights or law.
5. Acceptable use
You agree not to:
- use the Service for unlawful purposes or to sell counterfeit, stolen, or prohibited goods;
- misrepresent card condition, grading, authenticity, or pricing to customers;
- interfere with, overload, reverse-engineer, or attempt to gain unauthorized access to the Service;
- scrape, resell, or redistribute catalog or market-pricing data except as part of your normal use; or
- violate the terms of any third-party service you connect (including Shopify and payment providers).
6. Payments, plans, and hardware
Paid plans, fees, and billing terms are presented at the point of purchase. Subscriptions renew until cancelled; fees are non-refundable except where required by law or expressly stated. Hardware (such as label printers) is provided subject to its own pricing and any manufacturer terms. Payments between you and your customers are handled by you and your chosen payment providers; cardedge is not a party to those transactions and does not process or hold those funds.
7. Third-party services
The Service integrates with third parties such as Shopify (store sync), market-data and catalog providers, payment apps you display to customers, and infrastructure providers. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or actions. Connecting Shopify authorizes cardedge to read and write your store data as described in How it works.
8. Intellectual property
The Service, including its software, design, and the cardedge name and logos, is owned by CARDEDGE LLC and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. Card, set, and product names and images are the property of their respective rights holders.
9. Availability and changes
We may modify, suspend, or discontinue any part of the Service at any time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free, and pricing or sync data may be unavailable or delayed.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant the accuracy of market pricing, catalog matches, or inventory synchronization.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDEDGE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100.
12. Indemnification
You will indemnify and hold harmless CARDEDGE LLC from claims, damages, and expenses arising out of your use of the Service, your content, your transactions with customers, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. On termination, your right to use the Service ends; we may delete your data after a reasonable period, subject to our Privacy Policy and applicable law.
14. Governing law & disputes
These Terms are governed by the laws of the State of [GOVERNING-LAW STATE], without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in [VENUE / COUNTY, STATE], and you consent to their jurisdiction.
